End-User License Agreement (EULA)

Effective Date: 09/12/2017

This End-User License Agreement (“Agreement”) is a legal agreement between Honswer LLC (“Company”, “we”, “our”) and the entity that subscribes to and uses iTask by On-call CIO (“App”). By accessing or using the App, you (“Customer”, “you”, “your”) agree to be bound by this Agreement.

1. License Grant

We grant you a non-exclusive, non-transferable, company-wide license to use the App during your paid subscription period. This license is strictly for your company’s internal business use.

2. Restrictions

You agree not to:

Reverse engineer, decompile, or otherwise attempt to derive the source code of the App.
Resell, sublicense, or otherwise commercialize the App.
Misuse the App with third-party systems in ways not intended.
Share login credentials outside your company.

3. Data & Privacy

We aim to store as little of your data as possible. Certain identifiers (such as record IDs necessary for mapping or processing) may pass through our systems for execution of tasks, but we do not retain unnecessary data in databases or logs. By using the App, you consent to this limited processing.

4. Payments

Subscriptions are billed monthly in advance.
Payment is required at the start of each month for service during that month.
All payments are final; no refunds will be issued.

5. Support & Updates

Technical support is available via our support form.
The App is updated automatically.
We reserve the right to discontinue the App or specific features at any time.

6. Termination

We may suspend or terminate your access immediately if:

You fail to make timely payment, or
You breach this Agreement.

7. Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind. We disclaim all express, implied, and statutory warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, Honswer LLC shall not be liable for any damages of any kind, including but not limited to direct, indirect, incidental, consequential, or special damages, arising out of or related to your use of the App.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law principles. You agree that the state and federal courts located in Wyoming shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, and you consent to the personal jurisdiction of such courts.

10. Miscellaneous

Intellectual Property: All rights, title, and interest in the App remain with Honswer LLC.
Indemnification: You agree to indemnify and hold harmless Honswer LLC from any claims arising out of your misuse of the App.
Changes: We may update this Agreement from time to time. Continued use of the App after changes take effect constitutes acceptance.
